NO PURCHASE NECESSARY. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE THE CHANCES OF WINNING. VOID WHERE PROHIBITED BY LAW.

THE FOLLOWING IS INTENDED FOR VIEWING BY RESIDENTS OF THE UNITED STATES AND CANADA ONLY (EXCLUDING QUEBEC).

1. Definitions.

a. “Day” means a calendar day within the Sweepstakes Term ending at 11:59:59pm PDT.

b. “Entrant” means an eligible individual who enters the RSAC™ Membership Sweepstakes.

c. “Entry” or “Entries” are acquired by Entrants by engaging in specific Sweepstakes Entry Activities within the RSAC Membership. The following chart (i) defines the actions that qualify as a Sweepstakes Entry Activity, (ii) identifies the maximum number times that an Entrant can engage in such Sweepstakes Entry Activity for the purpose of acquiring Entries, and (iii) sets forth the related timing restrictions, if any.

d. “Event” means RSAC™ 2025 Conference, held April 28-May 1, 2025

e. “Official Rules” means these rules for the RSAC™ Membership Sweepstakes.

f. “Prize” means the item(s) described in Section 11.

g. “Release Forms” means an Affidavit of Eligibility and Liability Release, or for Canadian residents, a Declaration and Release Form with Liability Waiver.

h. “RSAC™ Membership Sweepstakes means the Sweepstakes described herein.

i. “Sponsor” means RSA Conference LLC, 166 Geary Street, Suite 1500, San Francisco, CA 94108.

j. “Sweepstakes” means a promotional drawing(s) in which a Prize(s) is given away at no charge to the Entrant. For clarity, in Canada, ‘Sweepstakes’ is defined in these Official Rules as the equivalent of a ‘Prize Draw’ or ‘Contest’. If applicable within a jurisdiction, references to ‘Sweepstakes’ herein and in connection with a promotion, shall be read as and understood to mean ‘Prize Draw’ or ‘Contest’.

k. “Sweepstakes Entry Activities” means those activities that an Entrant may engage in to obtain Entries as identified in Section 1(c) above.

l. “Sweepstakes Selection Times” is defined in Section 6.

m. “Sweepstakes Term” means that period of time beginning on April 28, 2025, at 8:00am PDT and ending on April 30, 2025, at 5:00pm PDT.

n. “Winner” or “Winners” means the individual(s) chosen from all Entries to receive a Prize.

2. Agreement to Official Rules. By entering the RSAC™ Membership Sweepstakes, the Entrant hereby fully and unconditionally agrees to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the RSAC™ Membership Sweepstakes. Winning a Prize is contingent upon fulfilling all requirements set forth herein. Any violation of these Official Rules will result in disqualification.

3. Eligibility. The RSAC™ Membership Sweepstakes is open only to legal residents of Canada (excluding Quebec), the fifty (50) United States, and the District of Columbia who: (a) are at least eighteen (18) years old; or (b) have reached the age of majority in the state/province/territory of residence, whichever is older, at the date of entry into the RSAC™ Membership Sweepstakes; and (c) successfully register for and attend the Event in person. Employees and representatives of Sponsor, Nth Degree, Inc., Rainfocus LLC, and their parent and affiliate companies as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. Employees of all federal, state, county, city or municipal government, employees of state funded universities and colleges, employees of K-12 schools, all types of public officials including elected officials, private individuals or individuals who work for firms to whom the government has outsourced government functions, and individuals who are employed in the healthcare industry are not eligible. The RSAC™ Membership Sweepstakes is subject to all applicable United States federal, state, and local laws and regulations and to all Canadian federal, provincial, municipal, and local laws and regulations. Participation in the RSAC™ Membership Sweepstakes constitutes Entrant’s full and unconditional agreement to these Official Rules and to Sponsor’s decisions, which are final and binding in all matters related to the RSAC™ Membership Sweepstakes.

4. Sweepstakes Term. The RSAC™ Membership Sweepstakes begins on April 28, 2025 at 8:00am PDT and ends on April 30, 2025 at 5:00pm PDT.

5. How to Enter. To enter: (a) create an account and join any tier of RSAC™ Membership (including basic) through https://portal.onersac.com/ on any device with a web browser or through the RSAC™ Community App located in the Apple Store; (b) affirmatively choose to participate in the RSAC™ Membership Sweepstakes and accept the Sweepstakes Rules located here, and (c) complete one or more specific Sweepstakes Entry Activities to acquire Entries to be eligible for Prizes to be selected at the Sweepstakes Selection Times identified in Section 6. Entrants may complete the specific Sweepstakes Entry Activities through either the Web-App located at https://portal.onersac.com/ or the related RSAC™ Community App located in the Apple Store.

6. Drawings and Entry Period. The Sponsor will conduct five (5) promotional drawings (each a “Drawing”) during the Sweepstakes Term from valid Entries for the purpose of selecting the Winners. Such drawings will take place in accordance with the following schedule.

Only Entries acquired during the Sweepstakes Term but prior to the Sweepstakes Selection Time specified above (each an “Entry Period”) will be included in the corresponding Drawing. Entries may be included in more than one Drawing unless the Entrant is the Winner of a prior Drawing.

By way of example, if an Entry is received after 7:00pm PDT on Monday, April 28, 2025 but before 12:00pm PDT on Tuesday, April 29, 2025 it would be included in Drawing #2 but it would not be included in Drawing #1. If the Entrant is not a Winner of Drawing #2, such Entry would also be included in Drawing #3.

Entry times are measured by the vendor’s servers associated with the evaluation website, or by the digital clock used by Sponsor, as applicable.

7. Entry Terms. All Entries are subject to the Official Rules. The odds of winning depend on the number of eligible Entries received during the Entry Period for each applicable Drawing. Any attempt by a person to gain more Entries than permitted by the Official Rules shall result in disqualification at Sponsor's sole discretion. Entry into the RSAC™ Membership Sweepstakes does not constitute entry into any other promotion, contest, or sweepstakes.

8. Disputed Entry. For a dispute concerning who submitted an Entry, the Entry will be declared to have been made by the individual with the name and email address corresponding to the information found on the Entry, but only if that person meets all other eligibility criteria. If any dispute cannot be resolved to Sponsor's satisfaction, the Entry may be deemed ineligible. Entries with more than one name may be disqualified.

9. Entries May Incur Internet Usage Charges. When an Entrant utilizes a smart phone or wireless device to engage in entry activities, normal Internet access and usage charges imposed by the online service will apply, according to the terms and conditions of the applicable service agreement.

10. Prize Drawing. Sponsor’s decisions as to the administration and operation of the RSAC™ Membership Sweepstakes and the selection of the potential Winners are final and binding in all matters. At each of the Sweepstakes Selection Times, Sponsor will conduct a random drawing to select Winners from all eligible Entries received during the Entry Period. The potential Winners will be notified by email. Each potential Winner will be required to sign and return the Release Forms to Sponsor in order to claim a Prize. All signed Release Forms must be returned in person and Prizes must be picked up in person prior to 1:00pm PDT on May 1, 2025 at the RSAC™ Membership booth (Booth S-3425) at the Event. See Exhibit A for a map of the Expo Hall and Prize Pick-Up hours. If a potential Winner cannot be contacted, fails to sign and return the relevant Release Forms and/or fails to pick up the Prize in person as required herein, the potential Winner forfeits the Prize. Potential Winner(s) must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. By entering, Entrant agrees he/she is in compliance with all of his/her employers’ rules, policies, and procedures that relate to accepting Prizes. In the event that a potential Winner is disqualified for any reason, Sponsor may choose (at Sponsor’s sole discretion) to award the applicable Prize to an alternate Winner by random drawing from among all remaining eligible Entries.

CANADA: ANSWERING A MATHMATICAL SKILLS QUESTION. If a potential Winner is a resident of Canada, then as a condition of receiving a Prize, the selected potential Winner will be required to correctly answer a four-part mathematical skill-testing question, posed in writing within the Declaration and Release Form in order to be deemed a Winner. The question must be answered within five (5) minutes, and without the benefit of any assistance (including without limitation, any calculation devices).

11. Prizes. Prizes are strictly limited to one (1) prize per person/Entrant. By way of example, if an Entrant wins any Prize in Drawing #1, he/she will not be eligible to win any additional Prize that may be awarded as part of Drawing #1 or to be a named a Winner and be awarded any Prize as part of any subsequent Drawing.

Type 1 Prize: Five (5) Winners will receive a Type 1 Prize: one (1) WHOOP 4.0 Band with Annual Membership (approximate retail value (ARV) $240.00). The Prize is non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a Prize for one of equal or greater value if the designated Prize should become unavailable for any reason. Winner is responsible for all taxes and fees associated with Prize receipt and/or use. This Prize must be redeemed in person by May 1, 2025 at 1:00pm PDT or is otherwise forfeit. Limit: One (1) Prize per person.

Type 2 Prize: Ten (10) Winners will receive a Type 2 Prize: two (2) Reserved Seats to the RSAC Conference Closing Celebration on Thursday, May 1, 2025 at 2:30pm PDT (ARV $100.00 per Prize/$50.00 per seat). The Prize is non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a Prize for one of equal or greater value if the designated Prize should become unavailable for any reason. Winner is responsible for all taxes and fees associated with Prize receipt and/or use. This Prize must be redeemed in person by May 1, 2025 at 1:00pm PDT or is otherwise forfeit. Limit: One (1) Prize per person.

Type 3 Prize: Twenty Five (25) Winners will receive a Type 3 Prize: one (1) RSAC-branded Tumbler (ARV $35.00 each). The Prize is non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a Prize for one of equal or greater value if the designated Prize should become unavailable for any reason. Winner is responsible for all taxes and fees associated with Prize receipt and/or use. This Prize must be redeemed in person by May 1, 2025 at 1:00pm PDT or is otherwise forfeit. Limit: One (1) Prize per person.

Type 4 Prize: Fifty (50) Winners will receive a Type 4 Prize: one (1) $25 Gift Card to be used at any of the Moscone Concessions Stands during between April 28-May 1, 2025, valued at $25.00. The Prize is non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a Prize for one of equal or greater value if the designated Prize should become unavailable for any reason. Winner is responsible for all taxes and fees associated with Prize receipt and/or use. This Prize must be redeemed in person by May 1, 2025 at 12:00pm PDT or is otherwise forfeit. Limit: One (1) Prize per person.

Prizes will be awarded as follows:

Neither Sponsor nor its agents have made or are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to any Prize, including but not limited to its quality, mechanical condition or fit for a particular purpose. Any and all warranties and/or guarantees on a Prize, if any, are subject to the manufacturers’ terms therefore and Winners agree to look solely to such manufacturers for any such warranty or guarantee.

12. Release. By entering, Entrant agrees to release and hold harmless Sponsor, Nth Degree, Inc., and Rainfocus LLC, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and Prize suppliers, and each of their respective parent companies and each of such company’s officers, directors, employees, and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, rights of publicity or privacy, defamation or portray in a false light, whether intentional or unintentional, arising out of participation in the RSAC™ Membership Sweepstakes or receipt or use or misuse of any Prize. Entrant further understands and agrees that all rights under Section 1542 of the Civil Code of California (“Section 1542”) and any similar law of any state or territory of the United States that may be applicable with respect to the foregoing release are hereby expressly and forever waived. Entrant acknowledges that Section 1542 provides that: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, AND THAT IF KNOWN BY HIM OR HER WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.” The releases hereunder are intended to apply to all claims not known or suspected to exist with the intent of waiving the effect of laws requiring the intent to release future unknown claims.

13. Publicity. Except where prohibited, participation in the RSAC™ Membership Sweepstakes constitutes Winner’s consent to Sponsor’s and its agents’ use of the Winner’s name, likeness, photograph, voice, opinions, and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.

14. General Conditions. Sponsor reserves the right to cancel, suspend, and/or modify the RSAC™ Membership Sweepstakes, or any part of it, if any fraud, technical failures, or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the RSAC™ Membership Sweepstakes, as determined by Sponsor in its sole discretion. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the RSAC™ Membership Sweepstakes, or to be acting in violation of these Official Rules or any other promotion, or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the RSAC™ Membership Sweepstakes may be a violation of criminal and civil law, and should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

15. Limitations of Liability. The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by Entrants, printing errors, or by any of the equipment or programming associated with or utilized in the RSAC™ Membership Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the RSAC™ Membership Sweepstakes; (4) technical or human error which may occur in the administration of the RSAC™ Membership Sweepstakes or the processing of Entries; (5) late, lost, undeliverable, damaged, or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the RSAC™ Membership Sweepstakes or receipt or use or misuse of any Prize. If for any reason an Entrant's entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, Entrant’s sole remedy is another entry in the RSAC™ Membership Sweepstakes, provided that the Entry Period has not ended. If the RSAC™ Membership Sweepstakes is canceled, suspended, or modified, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible Entries received up to the date of discontinuance for any or all of the Prizes offered herein. No more than the stated number of Prizes will be awarded. In the event that production, technical, seeding, programming, or any other reasons cause more than stated number of Prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of Prizes by a random drawing among all legitimate, un-awarded, eligible Prize claims. If by reason of a printing, typographical, technical, computer, network, human, or other error, more Prizes are claimed than the number set forth in these rules, all persons making purportedly valid claims will be included in a random drawing to award the advertised number of Prizes available. No more than the advertised number of Prizes will be awarded.

16. Disputes. Except where prohibited, Entrant agrees that any and all disputes, claims, and causes of action arising out of, or connected with, the RSAC™ Membership Sweepstakes or any Prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by any state or federal court located in New York (or in any appellate courts thereof). All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, Entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the RSAC™ Membership Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

17. Entrant's Personal Information. By participating in this RSAC™ Membership Sweepstakes, Entrant consents for Sponsor to obtain, use, and transfer Entrant’s name, address, email, and other details for Prize fulfillment purposes and marketing, advertising, for Sponsor’s compliance with requests made in accordance with Section 18 below and other commercial purposes as set forth in Sponsor’s Privacy Policy available at https://www.onersac.com/privacy-policy.

18. Winner List. For a Winner List (which shall only include the first and last name of the winner and the applicable prize), send a hand-printed, self-addressed, stamped envelope to “RSA CONFERENCE US 2025 RSAC™ MEMBERSHIP SWEEPSTAKES”, c/o Vincent Holloway, RSA Conference LLC, 166 Geary Street, Suite 1500, San Francisco, CA 94108. Winner List requests must be received by 07/31/2025.
