Terms of Sale

This page provides the Terms of Sale for Membership (“Terms of Sale”) that govern purchases you may make and other interactions (even without a purchase) you may have with certain products and services relating to the Memberships (as defined below) offered by RSA Conference LLC (“RSAC” or “us” or “we”).

In these terms, unless the context otherwise requires, all further references to “you” and “your” means you as an individual user.

Memberships are personal and, to the extent permissible under applicable law, cannot be resold or transferred.

By selecting and joining a Membership (as defined below), you are agreeing to these Terms of Sale and RSAC’s Terms of Service for Membership (“Terms of Service”). Please also see the RSAC Privacy Statement to understand how we handle your personal information.

GENERAL TERMS OF SALE

1.1 Definitions.

(a) “Basic Membership” refers to subscription-based memberships made available by RSAC that provide a member access to a limited, subset of Membership Products for no fee on an indefinite basis. Details regarding our current Basic Membership offering are available here.

(b) “Memberships” collectively refers to the Basic Membership and Professional Membership(s) made available by RSAC.

(c) “Membership Products” refers to any and all products, services, features and benefits relating to the Memberships, including the Web-App, the Mobile App(s) and the related content included therein.

(d) “Mobile App(s)” refers to one or more mobile applications relating to the Memberships offered by RSAC.

(e) “Professional Membership” refers to subscription, fee-based, automatically renewing memberships made available by RSAC that provide a member access to certain Membership Products for a specified term. Details regarding our current Professional Membership offering(s) are available here.

(f) “Web-App” refers to the Web-App relating to the Memberships made available by RSAC.

1.2 About Our Memberships and Membership Products.

We reserve the right to modify the content, type and availability of the Memberships and the Membership Products included in our Memberships at any time. If you do not agree to the modifications, you may cancel a Professional Membership by logging into your Web-App and selecting the “Membership” section under your “Profile”.

For details about your purchases, including your current payment method, Membership type and Membership period, please reference the “Membership” section under your “Profile” in either a Mobile App or the Web-App.

1.3 Processing and Payment.

We will process your purchase as promptly as possible. However, there may be a delay in the activation of your Professional Membership while payment details are verified.

We accept major credit cards and certain digital wallet services made available during the purchase process. Accepted payment methods may vary based on your location. We reserve the right to reject any attempted purchase at any time. By providing payment information to us, you agree that the payment information is valid.

Unless expressly specified otherwise in these Terms of Sale, all charges are nonrefundable.

You may change your Payment Method, as defined below, by logging into the Web-App and selecting “Membership” within your “Profile”. All fees are payable in accordance with the payment terms in effect when the fees become payable.

We use a third-party payment processor(s) (“Third Party Payment Processor”) to bill you through a payment account linked to your account for your Membership fees. The current Third Party Payment Processor that we use to process payments related to your Membership is Authorize.net. The processing of payments will be subject to the terms, conditions, and privacy policies of the Third Party Payment Processor in addition to these Terms of Sale. We do not endorse, verify or monitor the services or products offered by any Third Party Payment Processor. We do not make any representations, warranties or undertake any contractual covenants on the quality of service provided by any Third Party Payment Processor hereunder. By signing up for a Membership, you agree to pay us, through the Third Party Payment Processor, all charges at the prices then in effect for such Membership, if any, in accordance with the applicable payment terms, and you authorize us, through the Third Party Payment Processor, to charge your chosen payment provider (for example, a credit or debit card you provide) (your “Payment Method”). You agree to make payments using your selected Payment Method. We reserve the right to correct any errors or mistakes that the Third Party Payment Processor makes even if it has already requested or received payment.

1.4 Pricing.

When you select a Membership, the price will be made clear during the order process. You agree to pay the price stated at the time of your order, as well as any applicable taxes. You also agree to the billing frequency, including automatic renewal, if applicable, stated at the time of your order.

Discount eligibility is determined at the time of the order. Discounts cannot be applied retroactively.

All prices are in United States Dollars.

Applicable taxes may vary depending on the jurisdiction. We may not be able to notify you in advance of changes in applicable taxes.

If the stated price for or other material information about a Membership is determined by us (in our sole discretion) to be in error, we are not under any obligation to offer you the Membership and/or related Membership Products at such price and reserve the right to cancel, terminate or not process your order (including accepted orders). We will notify you of the error and will either provide you with the opportunity (a) to pay the correct amount, or (b) to cancel your order and obtain a refund if payment has already been made.

Additional Costs

Your access to the Membership Products is dependent upon the type of Membership that you selected. You may have to select a different Membership and pay additional fees for full access. Details regarding our current Memberships are available for your review here.

When you use the Membership Products, you may incur other additional charges from third party service providers, such as telecommunications fees or data fees. You are responsible for paying any additional charges incurred in connection with your use of the Membership Products.

If you believe someone else has used your account or you are being charged for a Membership you do not have, please contact our help center by chat or email (support@rsaconference.com). You should not include payment information (such as credit card information) or other sensitive information in your e-mail correspondence with us.

1.5 Billing and Memberships.

(a) Billing of Professional Memberships

If you subscribe to a Professional Membership, you are subscribing to an automatically renewing, fee-based membership requiring recurring payments on an annual basis until you cancel your Professional Membership in the manner set forth in Section 2.1.

You authorize us to charge your first membership fee and any applicable taxes on the later of (i) the date you purchase your Professional Membership, or (ii) upon the conclusion of your free trial, if any, subject to Section1.7.

Your Professional Membership will automatically renew on an annual basis, and you will continue to be charged at the stated price (including any applicable taxes), unless prior to the end of the current membership period: (i) you delete your account; (ii) you cancel your Professional Membership in accordance with Section 2.1 below; or (iii) we decline to renew your Membership. Further details regarding cancellation are included in Section 2.1 below. As noted below, we may change Membership Products associated with your Membership and/or fees at any time in our sole discretion.

(b) Changes to Memberships, Products, and Services

We may change the Membership Products associated with your Membership and/or the fees associated with your Membership at any time in our sole discretion. If the pricing for your Membership increases, we will notify you and provide you with an opportunity to cancel or change your Membership before (i) applying those changes to your account, in the case of a Basic Membership converting to a Professional Membership, or (ii) charging you in connection with an automatic renewal of a Professional Membership. We may (in our sole discretion) choose to add, modify, or remove benefits and features from a Membership on a temporary or permanent basis. If you do not wish to continue your Membership with the new modifications, you may cancel or change your Membership. Your failure to cancel or your continued use of your Membership after the changes become effective will constitute your acceptance of the changes.

1.6 Unpaid Charges.

If your credit card expires, your payment method is otherwise invalid, any fee is not paid in a timely manner, or your transaction cannot be processed, we reserve the right to suspend, disable, cancel or terminate your access to the Membership Products offered as part of the applicable Professional Membership and/or convert your Professional Membership to a Basic Membership, if available. You may contact us through our help center by chat or email (support@rsaconference.com) if you believe your access was terminated in error. You should not include payment information (such as credit card information) or other sensitive information in your e-mail correspondence with us.

1.7 Free Trials and Promotions.

We may offer free trials to allow access to certain Professional Memberships on a trial basis.

If your Professional Membership includes a free trial, you will not be charged a membership fee during your trial period (the “Trial Period”). To obtain the free trial, however, you may be required to provide your payment details to ensure uninterrupted access and continued use after the expiration of the Trial Period. In such cases, immediately upon completion of your Trial Period, we will use your chosen payment method to automatically charge you the Professional Membership fee specified in the terms applicable to the free trial, which may be the then-current fee for your Professional Membership, unless you have canceled your Professional Membership in accordance with Section 2.1. You may cancel your Professional Membership at any point during your Trial Period to avoid being charged as described in the previous sentence. Such cancellation will be effective at the end of the Trial Period at which point your Professional Membership will convert to a Basic Membership, if available, and/or you will not be charged.

For purposes of clarification, if we do not require payment details in connection with a free trial, you will have the opportunity to purchase a Professional Membership prior to the end of the Trial Period to ensure continued access to the Professional Membership. If you do not elect to purchase a Professional Membership, your Professional Membership will convert to a Basic Membership, if available, at the end of the Trial Period.

We may offer promotions from time to time. The specific terms of each promotion (the “Promotion Terms”) are stated at the time the promotion is offered. Each promotion offered by RSAC may be different from previously offered promotions. Promotions cannot be combined.

If your Professional Membership includes a promotional rate, you will be charged the promotional rate for the relevant period specified in the Promotion Terms (the “Promotion Period”). Immediately upon the expiration of the Promotion Period, we will automatically charge you the Professional Membership fee specified in the applicable Promotion Terms, which may be the then-current full rate for your Professional Membership, unless you have cancelled your Professional Membership in accordance with Section 2.1. You may cancel your Professional Membership at any point during the Promotion Period to avoid being charged as described in the preceding sentence. Such cancellation will be effective at the end of the Promotion Period at which point your Professional Membership will convert to a Basic Membership, if available, and you will not be charged.

You may only be permitted to use one free trial or promotional rate offer. If your Membership is ever canceled or terminated for any reason and you purchase an additional Membership, you may not be eligible for a free trial or another promotional rate offer.

Please note that we do not provide price protection or refunds in the event of a price drop or promotional offering.

1.8 Software Products.

If you select a Membership that includes downloadable software, your download and use of that software may be subject to different or additional terms or end user license agreements which will be provided to you prior to your access to or use of such downloadable software.

1.9 Electronic Notifications.

You consent to receive notifications from us electronically (a) to the email address you provide to us, and (b) through the Membership Products. You agree that all notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing and/or be delivered in a particular manner. You agree that you have the ability to store such electronic communications such that they remain accessible to you in an unchanged form.

You agree to provide legal notices to us in writing to RSA Conference LLC, Attn: Legal Department, 166 Geary Street, Suite 1500, San Francisco, CA 94108, with copy by email (legal@rsaconference.com), such notices to be effective upon proper delivery and actual receipt thereof by RSAC.

1.10 Entire Agreement.

The Terms of Sale, the Terms of Service, and any other special terms constitute the sole and entire agreement between you and RSAC relating to your selection, purchase and/or use of Membership(s) and the Membership Products and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral. To the extent the Terms of Sale conflict with any provision set forth in the Terms of Service or any other special terms, the Terms of Sale will apply, solely to the extent such terms are applicable to your Membership.

2. CANCELLATION AND REFUND POLICY

2.1 Cancellation and Refunds of Memberships.

By cancelling a Professional Membership, you are only cancelling future charges associated with your Professional Membership. To avoid future charges, you must cancel your Professional Membership at any time prior to the end of your current membership period. For details about your membership period, please reference the “Membership” section under your “Profile” in a Mobile App or the Web-App.

Currently, any cancellation of a Professional Membership must be effected by you by logging into the Web-App and selecting “Membership” within your “Profile”. You can also find this cancellation method described in our Membership Help Center, and you can contact our help center by chat, or email (support@rsaconference.com) if you have additional questions or concerns.

EXCEPT AS OTHERWISE STATED IN THESE TERMS OF SALE OR AS REQUIRED BY APPLICABLE LAW, MEMBERSHIP FEES ARE NONREFUNDABLE. If you cancel a Professional Membership, you are not entitled to receive any refund or credits for the time remaining in your membership period. Except as otherwise stated in these Terms of Sale or as required by applicable law, you will continue to have the same access and benefits of your Professional Membership for the remainder of the current membership period. Thereafter, your membership will convert to a Basic Membership, if available.

We reserve the right to issue refunds or credits at our sole discretion. If we issue a refund or credit at any time in our sole discretion, we are under no obligation to issue the same or similar refund in the future.

2.2 Suspensions or Cancellations by Us.

Without limiting any other remedies, we reserve the right to suspend or terminate your Membership at any time and for any reason, with or without notice, without issuing a refund and without any further obligation to you, including if we determine, in our sole discretion, that your actions or your use of the Membership Products violate these Terms of Sale, our Terms of Service, our Community Code of Conduct, any applicable law, or has harmed or threatens to harm the service, product, or another user.

3. MODIFICATIONS OF THESE TERMS OF SALE

We may, from time to time, change these Terms of Sale. When such changes are made, we will notify you of such changes by any reasonable means, including by email, push notifications within the Membership Products and/or by posting the revised version of these Terms of Sale on our website or in connection with our Memberships. You can determine when these Terms of Sale were last revised by referring to the “Last Updated On” legend at the top of these Terms of Sale. Such changes will become effective immediately upon posting. It is your responsibility to review these Terms of Sale prior to each use of the Membership Products. If you do not cancel your Membership after the changes become effective, you agree to the changed terms.

4. GOVERNING LAW, SEVERABILITY AND MISCELLANEOUS

4.1 These Terms of Sale have been made and will be construed and enforced in accordance with the laws of the United States of America and the State of New York as an agreement wholly performed in the State of New York without regard to their conflict of law provisions and the United Nations Conventions on Contracts (if applicable).

4.2 All parts of these Terms of Sale apply to the maximum extent permitted by applicable law. However, you may have greater rights in your jurisdiction of residence. If, in any jurisdiction, any provision of these Terms of Sale or their application to any party or circumstance is restricted, prohibited, or unenforceable, that provision will, as to that jurisdiction, be ineffective only to the extent of the restriction, prohibition, or unenforceability, without affecting the validity or enforceability of any other provision set forth in these Terms of Sale in any other jurisdiction or affecting the application of the Terms of Sale to other parties or circumstances.

4.3 You acknowledge and agree to the following:

(a) RSAC only makes available Memberships to individuals who are at least eighteen (18) years old and you are at least eighteen (18) years old and are located in a province or territory where we distribute the products of RSAC to be eligible to obtain a Membership and access the Membership Products;

(b) Memberships are renewed automatically;

(c) If we require you to provide your payment details when you sign up for a promotion, including, but not limited to, a free trial, you will be charged at the end of the promotion, the rates displayed at the time of purchase; and

(d) All charges are nonrefundable.
